1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AdPropix Pty Ltd (ABN 56 696 674 656, ACN 696 674 656) ("Company," "we," "us," or "our") governing your access to and use of the AdPropix platform and services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

AdPropix provides a software-as-a-service (SaaS) platform that enables real estate professionals to create, manage, and optimise advertising campaigns on Meta platforms (Facebook and Instagram). Our services include:

• Campaign creation and management tools
• Ad creative templates and builders
• Audience targeting and optimisation
• Performance reporting and analytics
• Account and campaign support

3. Account Registration

To use our services, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

You may not transfer your account or share access credentials. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Billing

4.1 Subscription Plans

We offer various subscription plans with different features and campaign limits. Plan details, pricing, and features are displayed on our website and may be updated from time to time.

4.2 Payment Terms

• All fees are charged in advance on a monthly basis
• Subscription fees are non-refundable except as stated in our Refund Policy
• You authorize us to charge your payment method automatically
• Failed payments may result in service suspension

4.3 Ad Spend

Advertising spend on Meta platforms is charged separately and directly by Meta. We are not responsible for charges incurred on your Meta advertising account.

5. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Create false, misleading, or deceptive advertisements
• Use the platform for any illegal or unauthorized purpose
• Attempt to access systems or data without authorization
• Interfere with or disrupt our services
• Resell or redistribute our services without permission
• Violate Meta's advertising policies

6. User Content

You retain ownership of content you upload to our platform (images, text, branding materials). By uploading content, you grant us a non-exclusive, worldwide license to use, modify, and display such content for the purpose of providing our services.

You represent and warrant that you have all necessary rights to any content you upload and that such content does not violate any third-party rights.

7. Intellectual Property

AdPropix and its licensors retain all rights, title, and interest in the platform, including all software, designs, templates, and documentation. Our name, logo, and product names are our trademarks.

You are granted a limited, non-exclusive, non-transferable license to use our services during your subscription period.

8. Third-Party Services

Our services integrate with Meta Platforms. Your use of Meta's advertising platform is subject to Meta's own terms and policies. We are not responsible for Meta's services, policies, or any actions taken by Meta regarding your advertising account.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• Our services will be uninterrupted or error-free
• Any particular advertising results will be achieved
• Our services will meet your specific requirements
• Any errors or defects will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADPROPIX SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Any damages arising from third-party services (including Meta)
• Any damages exceeding the fees paid by you in the 12 months preceding the claim

11. Indemnification

You agree to indemnify and hold harmless AdPropix and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

12. Termination

You may cancel your subscription at any time through your account settings. We may suspend or terminate your account for violation of these Terms or for any other reason at our discretion.

Upon termination, your right to use our services will immediately cease. We may retain your data as required by law or for legitimate business purposes.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through our platform or via email. Your continued use of our services after such changes constitutes acceptance of the new Terms.
